These Terms & Conditions ("Agreement") govern your use of Strategic Horizon's AI Transformation Center website and services. By accessing or using this website, you agree to be bound by these terms. If you do not agree to any part of these terms, you may not use our services.
Strategic Horizon provides research, frameworks, webinars, consulting services, and other intellectual property related to AI transformation strategies. The specific services you obtain are detailed in your Service Agreement or order confirmation.
Fees for our services are as stated in your Service Agreement or invoice. Unless otherwise agreed, payment is due within 30 days of invoice date. If you dispute any portion of an invoice, notify us within 15 days with details of the dispute. Failure to dispute waives your right to challenge payment. We reserve the right to suspend services for payments 45 days overdue.
All research, frameworks, reports, and content created by Strategic Horizon ("Work Product") are owned by Strategic Horizon. You are granted a limited, non-transferable license to use the Work Product solely for your internal business purposes. You may not reproduce, distribute, publish, or create derivative works without our written consent. All Strategic Horizon trademarks, logos, and proprietary marks must remain intact and may not be removed or altered.
Each party agrees to maintain the confidentiality of the other party's proprietary information, including business strategies, pricing, and client information. Confidential information shall not be disclosed to third parties without prior written consent, except as required by law. Upon request or termination, all confidential information shall be returned or destroyed.
To the maximum extent permitted by law, Strategic Horizon shall not be liable for indirect, incidental, consequential, or punitive damages arising from your use of our services or work product. Our total liability shall not exceed the fees paid by you in the 12 months preceding the claim.
Our work product and services are provided "as is" without warranties of any kind. We do not warrant that our services will be uninterrupted, error-free, or fit for any particular purpose. We do not provide legal, financial, or tax advice. You should seek independent professional counsel before making business decisions based on our work product.
This Agreement is effective for the term specified in your Service Agreement. Either party may terminate for material breach if not cured within 30 days of written notice. Upon early termination, we shall refund any prepaid fees on a pro-rata basis for services not yet delivered.
These Terms & Conditions shall be governed by the laws of the Canada, and you agree to submit to the exclusive jurisdiction of Canada courts for any disputes.
Strategic Horizon reserves the right to modify these terms at any time. Changes will be effective immediately upon posting to the website. Your continued use following any changes constitutes acceptance of the updated terms.
